License to User Content 

As used herein, “User Content” means any statements, comments, images, photos, videos or other media you post or share and tag or comment on with #myinvitedclub in response to our request. As between you and us, you own all User Content.  

You hereby grant to Invited and its subsidiaries and affiliates (collectively, “us” or “we”) a non-exclusive, irrevocable, perpetual license to share, reproduce, display, distribute, create derivative works from, publish and otherwise use your User Content, without compensation of any kind, for commercial purposes in promoting Invited and any clubs in the Invited network. Such use may include, but is not limited to, display advertisements in which your User Content may be viewed by third parties or further re-posted or shared. However, we do not have any obligation to use your User Content and if used, we may remove User Content from our sites at any time and for any reason. 

You represent that: 

• you own all rights to your User Content or, alternatively, you have the right to give us the rights described above; 
• your User Content does not infringe on the intellectual property rights, privacy rights, publicity rights, or any other legal rights of any third party, including but not limited to anyone who may appear in the User Content.
